Howard Thompson, counsels private and public companies in many aspects of business, with a focus on corporate finance, corporate governance, mergers and acquisitions, real estate, banking, contract law, solar, energy regulation, surety, and restructurings. He brings more than 34 years of experience to his business, banking, real estate, surety and energy practice. Howard has extensive experience in counseling clients, negotiating transactions, and documenting and closing a variety of contract matters, including real estate purchases, sales, leasing and mortgaging, as well other business transactions, solar construction and power purchase agreements, surety indemnity and collateral matters, and banking transactions. He also represents and counsels solar integrators and energy suppliers on regulatory, financing and investment matters.

Howard Thompson regularly works in the areas of mortgages, leases, real estate transactions, business formations, lending, secured and unsecured funding, contract formation and negotiation, solar and other energy projects, electric utility/supplier regulation and surety. He has advised real estate developers, solar developers, leading energy companies, banks, insurance companies, and companies in financial distress regarding development, investment, lending, loan collateralization, energy, and reorganization matters involving a variety of businesses. In his career, Howard has worked at moderate, large and small New Jersey firms, while also working extensively with in-house counsel (including banks, a Fortune 500 energy company, and insurance companies) on a variety of projects and ongoing matters. Howard's transactions have included clients and/or assets in New Jersey, New York, Connecticut, Massachusetts, Vermont, Utah, California, Colorado, Texas, Wisconsin, Pennsylvania, Montana, Florida, Tennessee, Georgia, North Carolina, Ohio, Singapore, Hong Kong, South Korea, Australia, England, Ireland, and Micronesia.  His completed transactions include:

  • the sale of a solar development LLC with a 6.0 MW solar facility, together with real estate;
  • a power purchase agreement for a 9.2 MW solar facility;
  • multiple 15-year commercial lease transactions;
  • engineering, procurement and construction ("EPC") agreements and operation and maintenance ("O&M") agreements for multiple solar power facilities;
  • bank loans and restructurings based on commercial real estate, asset-based lending, and equipment, as well as factoring;
  • multiple large commercial real estate purchases and financings;
  • numerous mortgage and asset-pledging transactions for collateralizing surety indemnities;
  • LLC formation for pharmacies and other businesses;
  • a $100 million electricity supply agreement;
  • a $360 million multi-year, key-supplier external manufacturing supply agreement for solar products;
  • a $170 million public merger;
  • a $151 million corporate debt restructuring with four levels of debt warrants and ISO plan;
  • two New Jersey tobacco settlement bond transactions totaling in excess of $3.4 billion; and
  • representation of an insurance company in its claims resolving a complex bankruptcy reorganization of a nationally known paper products supplier.
  • a $5.25 million acquisition of real estate and assets with a new LLC operating company formation;
